Terms
Service terms
Effective October 24, 2026. These terms are the written agreement between CharityRenewals, a service of Simple Apps, LLC (“we”), and the organization that buys the service (“you”). By completing checkout you agree to them.
1. What we do
We prepare and file charitable solicitation registrations, renewals, annual financial reports and related state filings for you, in the states you list, for the legal entity you name. We track the deadlines, collect the officer signatures each state requires, pay state filing fees on your behalf, and send you copies and receipts of what we file. That is the whole engagement.
2. The fee is flat
- The service fee is $95 per state per year for the states on your list, plus a one-time setup and takeover fee of $250.
- If you buy a one-time fix instead, the fee is $295 per lapsed state you list. It covers one renewal of that state’s registration and does not renew. We give you a one-use credit for the amount you paid, before tax, that applies to the first bill of a full takeover for the same organization if you start within 60 days of payment.
- The fee is a flat, fixed fee. It is never a percentage of, or otherwise based on, contributions raised, the success of any solicitation, or any other measure of fundraising.
- State filing fees are passed through at cost and billed separately.
- Catch-up work (missing past years), cleanup, and reinstatement of delinquent, suspended, revoked or “may not operate” registrations are not part of the standard fee. We quote them in writing, and they start only when you accept the quote.
- The fee covers one legal entity. Additional entities are priced separately.
- The per-state fee renews each year on the anniversary of your purchase until you cancel.
3. You decide where we file
You decide, and confirm to us in writing each year, which states we file in. We do not advise you on whether your activities require registration in any state, whether an exemption applies, or how online or out-of-state solicitation is treated. We apply each state’s published forms and instructions to the facts you give us. If you want advice on where you must register, get it from your attorney.
4. What we don’t do
- We do not solicit contributions, and we do not plan, manage, advise on, consult on or conduct any fundraising campaign or solicitation.
- We do not prepare solicitation materials, appeals or scripts, and we do not write donor disclosure statements or advise on where to place them.
- We never receive, hold or control contributions, and we have no authority to pay solicitation expenses. State filing fees we pay for you are reimbursed by you and are not contributions.
- We do not prepare your Form 990, financial statements or audit.
5. Not a law firm, not a government agency
We are not a law firm and do not provide legal or tax advice. We are a private company and are not affiliated with, endorsed by or acting for any state agency, the IRS or any other government body.
6. Your part
- You give us accurate, complete information and documents, and tell us promptly when something changes (officers, address, fiscal year, revenue, fundraising arrangements).
- Your officers sign the annual authorization and any state signature requests on time. Many states require an officer to sign under penalty of perjury; we do not sign for your officers where the law requires them to sign personally.
- You pay state fees we advance for you when invoiced.
- If a filing is late because documents, signatures or payments reached us late, the state’s late fees and penalties are yours.
7. Authorization
Your annual authorization lets us prepare and submit filings for you in the listed states for that year, and use the state accounts you give us access to. You can revoke it in writing at any time. Revoking it stops future filings; it does not undo filings already made.
8. New York
New York filings are not offered yet. They are listed as coming soon and are not included in any purchase.
9. Cancellation
You can cancel at any time by email. Cancellation takes effect at your next renewal date, and we complete filings already under way for the current year. The setup fee covers work we begin right away and is not refundable once setup has started. A one-time fix fee is not refundable once we have started preparing that state’s filing.
10. Records and confidentiality
We keep your documents confidential and use them only to make your filings. We keep copies of what we file for at least four years and send you copies as each filing is accepted. When you leave, we send you your filing history on request.
11. Limits
Our total liability under these terms is limited to the service fees you paid us in the 12 months before the claim. We are not liable for decisions a state makes, for delays in a state’s systems, or for penalties that result from information you gave us or from late documents or signatures.
12. Changes
We can change these terms or our prices for future years by telling you at least 60 days before your renewal date. Changes never apply to a year you have already paid for.
